Privacy Policy

1.1 Data Controller

1.2 Categories of Personal Data

We collect the following categories of personal data: (a) identification data including your full name and company name; (b) contact data including email address, phone number, and mailing address; (c) technical data including IP address, browser type, operating system, and usage analytics; (d) project-related data including service specifications and investment preferences.

1.3 Legal Basis for Processing

We process personal data under Article 6(1)(b) of the EU GDPR for the performance of contractual obligations, under Article 6(1)(f) for legitimate interests in service improvement and fraud prevention, and under Article 6(1)(a) where you have given explicit consent through our contact forms.

1.4 Data Retention

Personal data is retained for the duration necessary to fulfill the stated purpose: project-related data is retained for 36 months following the conclusion of the engagement; contact form submissions are retained for 12 months; technical analytics data is retained for 24 months in anonymized form.

1.5 Data Subject Rights

Under the EU GDPR and applicable German data protection law (BDSG), you have the right to: access your personal data (Art. 15); rectification of inaccurate data (Art. 16); erasure of personal data (Art. 17); restriction of processing (Art. 18); data portability (Art. 20); and objection to processing (Art. 21). 1.6 International Transfers

All personal data is processed and stored within the European Economic Area (EEA). Where data transfer outside the EEA is required, we rely on Standard Contractual Clauses (SCCs) approved by the European Commission or adequacy decisions under Article 45 of the GDPR.

§2

Terms of Service

2.1 Scope of Services

ModernWebStructure provides web application development, custom API pipeline architecture, database design, cloud infrastructure provisioning, performance optimization, and ongoing QA maintenance services. All services are delivered as specified in individually executed Statements of Work (SOW) between the Client and ModernWebStructure.

2.2 Intellectual Property

Upon complete settlement of all agreed commercial invoices, ModernWebStructure irrevocably assigns all worldwide intellectual property rights, including source code, design tokens, and digital assets, to the Client. Pre-existing frameworks, libraries, and proprietary tools used in development remain the property of ModernWebStructure under their respective open-source or proprietary licenses.

2.3 Payment Terms

Invoices are payable within 14 calendar days of issuance. A 50% advance deposit is required before project commencement. Late payments incur a statutory interest rate of 9 percentage points above the ECB base rate per annum. All prices are quoted in Euros (EUR) exclusive of applicable VAT (MwSt.).

2.4 Project Delivery & Acceptance

Project timelines are specified in the applicable SOW. The Client has 10 business days following delivery to review deliverables and submit acceptance or written notice of deficiencies. ModernWebStructure will remedy identified deficiencies within 5 business days at no additional cost.

2.5 Limitation of Liability

ModernWebStructure's total aggregate liability under any engagement shall not exceed the total fees paid by the Client for the specific service giving rise to the claim. In no event shall ModernWebStructure be liable for indirect, consequential, or incidental damages including lost profits or business interruption.

Cookie Policy

3.1 Essential Cookies

We utilize strictly necessary cookies to maintain session integrity, ensure secure authentication, and remember your cookie consent preferences. These cookies are essential for the website to function and cannot be disabled. They include the cookie_accepted local storage flag used to persist your consent status.

3.2 Analytics Cookies

We may deploy anonymized analytics cookies to measure website performance, track page visit patterns, and optimize user experience. All analytics data is aggregated and does not personally identify individual users. Analytics data is retained for a maximum period of 24 months.

3.3 Managing Cookie Preferences

You may manage or revoke cookie consent at any time by clearing your browser's local storage or by contacting us at [email protected]. Disabling essential cookies may impair website functionality. Under the ePrivacy Directive (2002/58/EC) and the German Telemedia Act (TMG), we require your informed consent before deploying non-essential cookies.

§4

Refund Policy

4.1 Cancellation Before Commencement

If the Client cancels a project before work has commenced, the 50% advance deposit is refundable in full within 14 business days. Cancellation must be communicated in writing to [email protected].

4.2 Cancellation During Execution

If the Client cancels a project after work has commenced, payment for all work completed up to the date of cancellation is due in full. A detailed work log and invoice for completed milestones will be provided. Any advance deposit in excess of completed work will be refunded within 14 business days.

4.3 Deliverable Defects

If delivered work materially deviates from the specifications defined in the SOW and ModernWebStructure fails to remedy the deficiency within 10 business days of written notice, the Client is entitled to a proportional refund of fees paid for the defective deliverable.

4.4 Monthly Retainer

Monthly QA and maintenance retainers may be cancelled with 30 days' written notice. The current billing period is non-refundable. No early termination fees apply.

4.5 Refund Processing

All refunds are processed via bank transfer to the account from which the original payment was made. Refunds are completed within 14 business days of written approval. Applicable statutory withdrawal rights under the German Civil Code (BGB §§ 312g, 355) are respected for consumer contracts.
